Sharon is a director in our corporate and commercial team.

Her main areas of practice are corporate advisory, mergers and acquisitions, banking, corporate services and employment work.


Her focus is on private mergers and acquisitions and she has assisted numerous international and home-grown clients across various sectors in their merger and acquisition deals, involving both asset and share purchases.


She is also active in advising start-ups and early growth companies, including in relation to group structuring, fundraising exercises, employee incentive schemes, shareholders’ disputes, directors’ duties and corporate governance issues.


Having practised in a large international law firm, she has acted for a diverse international client base and has extensive experience dealing with cross-border transactional work.


Looking for real solutions in her practice, rather than the right answers, she strives to use her experience and skills to provide clients with practical and commercial advice.


Clients have praised Sharon for her responsiveness (she “responds at all hours of the day”) and for being “attentive” and “completely on top of the work”. She is acknowledged for her ability to provide high quality legal advice married with a strong sense of practicality.

 

WORK HIGHLIGHTS

  • Advised several early growth companies in their fund-raising exercises with private equity and venture capital firms in Singapore and India, as well as those involving Singapore government financing schemes.

  •  Advised the owners of one of the oldest Singapore office buildings in its joint venture with a Japanese conglomerate for the redevelopment of the clients' multi-million property.

  •  Advised a Malaysian hypermarket chain in its S$30 million acquisition of an international fast-food franchise in Singapore and Malaysia.

  • Advised a leading industrial services company headquartered in the Netherlands in relation to its acquisition program in Asia, including an acquisition of 60% equity in a scaffolding services company and advising on shareholding and control issues.

  • Advised an air cargo services provider in its joint venture with a subsidiary of ANA Holdings Inc in respect of their expansion plans in Singapore and Malaysia.

  • Advised a regional supply chain operator in its take-over of an Itochu group company in the Philippines. 

  • Advised a client in the negotiations of his proposed purchase of a Seychellois telecommunications operator from a British multinational telecommunications company.

  • Advised a developer in the proposed sale of a Singapore residential project to a hotel operator.

  • Advised a regional leader in the field of fibre reinforced polymer composite technology in its sale of the entire business in the Asia Pacific region to a Nasdaq-listed US corporation for more than S$50 million.

  • Advised a Swedish corporation (the world's biggest maker of heat exchangers) in relation to its US$731 million acquisition of a fifty per cent share in a leading Danish corporation's marine boiler business.
